DRAFT — requires lawyer review (UK/EU digital purchases, refunds, VAT)
Terms of Service
Draft of 13 October 2026. Square brackets mark details still to be filled in.
1. Who we are and what AdCosmos is
AdCosmos is a shared game universe run by Elevate, a [Elevate legal form, for example Ltd] registered in England and Wales (company number [company number]), registered office [registered office address, United Kingdom] ("we", "us"). These terms are an agreement between you and us. By creating an account, buying a spot or using the service you accept them. If you do not accept them, do not use the service.
Flying around the universe and visiting spots is free. You can buy a named, branded celestial body or building (a "spot"). A spot is a digital address and visibility service: your brand, name and link are shown to visitors who fly to it, and it has its own public page and coordinate label.
2. Please read this first: how takeovers work
Anyone can take over any published spot at any time, and the current holder cannot refuse. If your spot is taken over you lose it and receive in-game Claim Credits equal to the price you paid, not money. You will never receive more than you paid. Do not buy a spot unless you are comfortable with this.
3. What you are buying
- The right to show your brand on one spot, and to change that brand, for as long as you hold the spot.
- A spot's type, number and position never change. A takeover changes who holds the spot and which brand is shown, never its address.
- A spot is a digital service. It is not an investment, security, cryptocurrency or NFT, it is not a financial product, and it has no value outside AdCosmos. We make no promise that a spot will be visited, clicked, kept or taken over, or that its price will change. Nothing on AdCosmos is financial, tax or legal advice.
- You get the service described on the spot's page and nothing more. We own the game, the universe art and the software; you receive only the rights set out here.
4. Prices, tax and takeovers
- All prices are in US dollars. Tax, including UK VAT where it applies, is added on top at checkout and shown before you pay.
- The first price of a spot is the entry price for its type. Buildings cost extra for each additional floor, as shown before you pay.
- Anyone can take over any published spot for 1.25 times its current price, rounded up to a whole dollar. You cannot take over a spot you already hold.
- You pay us, never the previous holder. When you start a checkout the spot is locked for 150 seconds so that nobody else can start one at the same time.
- If another buyer completes first, your card is not charged: the authorisation is cancelled and any Claim Credits you used are returned to your balance.
- Your payment is processed by Stripe. We may refuse or cancel a payment we reasonably suspect of fraud.
5. Claim Credits
If your spot is taken over you receive in-game Claim Credits equal to the price you paid for it, not including tax. Spots we gave to launch partners without payment carry no credits. Credits are applied automatically before your card is charged and can cover a whole purchase. Credits do not expire. They can only be used on AdCosmos. They cannot be withdrawn, sold, transferred or exchanged for money, and they earn no interest. We do not remove credits from your account except to correct a mistake or where you obtained them by fraud.
6. Your account
- You must be 18 or over to create an account or buy a spot.
- You need an account (email link or Google sign-in) to buy or edit a spot. Keep access to your email secure and tell us at once if you think someone else has used your account.
- If you buy for a company or other organisation, you confirm you have authority to bind it.
- You can close your account at any time by emailing [support email]. Any spots you hold are released when it closes. Claim Credits cannot be redeemed after closure.
7. Your brand and your conduct
- You must have the right to use every name, logo, image and link you add, and what you publish must be accurate and lawful, including advertising law.
- You give us a free, worldwide licence to display, store, resize and promote your brand content within AdCosmos and in previews of it (for example link cards). You keep ownership of it.
- Links must be https:// addresses. Logos and banners are checked before they are shown. Links may be checked automatically for safety.
- Your brand must follow the content policy. We can hide, reset or remove a brand that breaks it. The spot stays yours; the brand goes back to the default.
- You must not use bots, scripts or other tricks to inflate visit or click numbers, interfere with the service, or try to buy or take over spots in a way meant to avoid these terms.
- Linked websites are not ours. We do not endorse them and are not responsible for what you or another holder links to.
If you are using AdCosmos for business, you will pay us back for losses and costs we reasonably incur because your brand content infringes someone else's rights or breaks the law. This does not limit your legal rights as a consumer.
8. Visits and clicks
We count one visit per visitor per spot per day and count clicks separately, on our servers. Numbers shown are our best count, are not audited and may change if we remove automated or repeated traffic. We do not guarantee any number of visits or clicks.
9. Suspension and ending
We may suspend or close an account, and remove a brand, if you seriously or repeatedly break these terms, use the service for fraud, or the law requires it. We will tell you why unless the law stops us. If we close your account without a reason related to your conduct, we will refund the price of any spot you hold, or credit it to you if you prefer.
10. Refunds and cancellation
See our refund policy, which forms part of these terms.
11. Availability and changes
We aim to keep AdCosmos available but do not promise it will always be, and we may carry out maintenance. We may add new areas of the universe; we never move existing spots. If we change these terms, we will tell account holders by email at least 30 days before material changes take effect for new purchases. If you do not agree you can close your account.
12. Our responsibility to you
Nothing in these terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or your legal rights as a consumer (for example that digital content is of satisfactory quality, fit for purpose and as described).
If you are a consumer: if we break these terms we are responsible for losses that are a foreseeable result, but not for losses that were not foreseeable, nor for business losses such as lost earnings or lost sales.
If you are using AdCosmos for business: we provide the service "as is", we are not liable for lost revenue, lost business or indirect loss, and our total liability to you for anything arising from the service in any 12 months is limited to the amount you paid us in that period.
We are not responsible for delay or failure caused by events outside our reasonable control, including outages of internet, hosting or payment providers.
13. General
- These terms, the refund policy, content policy and privacy policy are the whole agreement between us about the service.
- If part of these terms is found unenforceable, the rest still applies.
- If we do not enforce a term straight away, we can still do so later.
- You may not transfer your account or your rights under these terms to someone else, except through a takeover. We may transfer ours to a company that takes over the service, if your rights are not reduced.
- Nobody else has the right to enforce these terms.
- We send notices to your account email. You can write to us at [support email] or at our registered office.
14. Law and disputes
These terms and any dispute about them are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you are a consumer living in Scotland or Northern Ireland you may bring a claim in your local courts. If you are a consumer living elsewhere you keep the protection of the mandatory consumer law where you live. Please contact [support email] first so we can try to resolve a complaint.
